1. Agreement
These Terms and Conditions (“Terms”) govern your access to and use of GoldLane (the “Platform”), operated by Liberty IT Technologies(“we,” “us,” or “our”). By creating an account, publishing an event, or using any part of the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
2. Service description
GoldLaneis a business-to-business platform that enables food trucks, festival vendors, and outdoor event operators to create digital menus, generate QR codes for stalls and truck windows, accept mobile orders from event guests, manage item capacity, and route orders to a connected point-of-sale (POS) system or live vendor dashboard. End customers (“Guests”) use the Platform to scan a QR at a food event, browse menus, and place orders without standing in the physical queue.
3. Vendor accounts
Vendors must provide accurate registration information and maintain the security of account credentials. You are responsible for all activity under your account, including actions taken by authorized team members. You must be at least 18 years old and legally authorized to operate your food business in applicable jurisdictions.
4. Events, menus, and orders
You are solely responsible for menu accuracy, pricing, allergen disclosures, item availability, capacity limits, and fulfillment of orders placed through your events. Published menus must comply with local health, licensing, and consumer protection laws. We do not prepare, inspect, or deliver food on your behalf.
5. Payments and fees
Platform fees, payment processing fees, and payout schedules are disclosed at signup and on our pricing page. Payments may be processed through third-party providers such as Stripe, Square, or Clover. You authorize us and our payment partners to collect applicable fees and facilitate settlements according to your selected plan and connected accounts. Chargebacks, refunds, and tax obligations remain your responsibility unless otherwise required by law.
6. POS integrations
If you connect a POS system, you grant the Platform permission to sync menu data and transmit orders to that system. Integration availability, sync frequency, and order delivery are subject to third-party API limitations. We are not liable for delays or failures caused by POS providers or network conditions outside our reasonable control.
7. Acceptable use
You may not use the Platform for unlawful purposes, fraudulent transactions, misleading menus, harassment, malware distribution, or attempts to interfere with Platform security. We may suspend or terminate accounts that violate these Terms or pose risk to Guests, other vendors, or the Platform.
8. Intellectual property
The Platform, including its software, design, and branding, is owned by Liberty IT Technologies or its licensors. You retain ownership of your menu content, photos, and business materials. You grant us a limited license to host, display, and transmit your content solely to operate the Platform for your events.
9. Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED SERVICE, ERROR-FREE OPERATION, OR SPECIFIC EVENT REVENUE OUTCOMES.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIBERTY IT TECHNOLOGIES AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE PLATFORM SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Termination
You may close your account at any time. We may suspend or terminate access for violations of these Terms, non-payment, or operational necessity. Upon termination, your right to use the Platform ceases, though provisions that by nature should survive (including payment obligations, disclaimers, and liability limits) will remain in effect.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
